1. Who we are

These Terms are an agreement between you and NOVACRM LLP ("NOVA", "we", "us"), a limited liability partnership registered in England and Wales, company number OC455719, registered office: Stoney Works, 8 Stoney Lane, London, United Kingdom, SE19 3BD (incorporated 28 February 2025; status Active — Companies House: https://find-and-update.company-information.service.gov.uk/company/OC455719), official Kommo Partner #15219445. 2. Scope

These Terms govern the website https://nova-kommo.com, NOVA widgets for Kommo, and the NOVA MCP Connector for Kommo — a hosted remote Model Context Protocol server at https://sp1-nova.com/api/mcp-server/mcp/ (the "Connector") that lets AI clients (e.g. Claude, ChatGPT, Cursor, Perplexity) access your Kommo account. Privacy is governed by our Privacy Policy: https://nova-kommo.com/policy.

3. Accounts and authorization

3.1 The Connector requires an active Kommo account, the NOVA "MCP connector for Kommo" widget installed in it, and authorization via OAuth.

3.2 The Connector acts only within the permissions of the Kommo user who authorized it. You are responsible for who in your organization authorizes access and for the AI clients you connect.

3.3 Each widget profile has its own access; deleting the profile or uninstalling the widget revokes access.

4. What the Connector does

It exposes tools to read and, if enabled, modify Kommo data: leads, contacts, companies, customers, tasks, notes, pipelines, tags, custom fields, catalogs, events, users, lead chats and mail, Salesbot and webhooks. Access is read-only by default; write and destructive methods must be enabled by you in the widget settings.

5. Your responsibilities

You agree to:

  • use the Connector lawfully and in line with Kommo's terms;
  • have a lawful basis to process the personal data in your Kommo account;
  • review actions proposed by AI clients before confirming write, delete or messaging operations;
  • not attempt to circumvent security, overload, reverse-engineer or resell the service;
  • keep OAuth tokens and profile addresses confidential.

6. AI clients and third parties

AI clients, Kommo and other third-party services are operated by their own providers under their own terms. We are not responsible for the output of AI models, for actions you or an AI client perform with your data, or for the availability of third-party services.

7. Fees

The Connector is currently provided free of charge. We may introduce paid plans for the Connector in the future; we will give you reasonable advance notice of any fees, and continued use after the effective date will require accepting the applicable pricing.

8. Data

We process Kommo data only to execute your requests through the Connector, as described in the Privacy Policy (https://nova-kommo.com/policy) and its section "NOVA MCP Connector for Kommo". We do not sell personal data. Technical logs of Connector requests are stored for 30 days on servers in Germany; OAuth tokens are deleted immediately when you disconnect.

9. Availability and changes

The service is provided "as is" and "as available". We may update, suspend or discontinue features, including tools exposed by the Connector, and will try to give reasonable notice of material changes.

10. Intellectual property

The Connector, widgets and website are proprietary to NOVACRM LLP. No source code or licence beyond use of the service is granted. Your Kommo data remains yours.

11. Limitation of liability

To the maximum extent permitted by law, NOVA is not liable for indirect or consequential damages, loss of data or profits, or for actions taken by AI clients on your instruction. Our total liability is limited to the fees you paid us for the Connector in the 12 months preceding the claim.

12. Termination

You may stop using the Connector at any time by deleting the profile or uninstalling the widget. We may suspend access for breach of these Terms or to protect the service.

13. Governing law

Disputes are first resolved by negotiation, with a written claim (email is sufficient) and a 10-calendar-day response period; failing that, they are submitted to the exclusive jurisdiction of the courts of England and Wales. These Terms are governed by the laws of England and Wales.
